Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Defilan Technologies LLC ("Company," "we," "our," or "us") concerning your access to and use of the Shelta parental control service ("Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

Eligibility

You must be at least 18 years old to create an account and use the Shelta service. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You are the parent or legal guardian of any child whose device you enroll in the Service
• You have the legal authority to consent to the enrollment of devices you manage
• You will comply with all applicable laws regarding parental monitoring

Description of Service

Shelta is a parental control service that uses Mobile Device Management (MDM) technology to help parents protect and manage their children's iOS devices. The Service allows parents to:

• Supervise and manage enrolled devices using enterprise-grade MDM
• Set content restrictions and app limitations
• Manage screen time and device usage schedules
• Receive alerts when device settings are modified

Beta Service

Shelta is currently in beta. By using the Service during the beta period, you acknowledge and agree that:

• The Service may contain bugs, errors, or other issues that could affect functionality
• Features may be added, modified, or removed without prior notice
• Service availability may be interrupted for maintenance or updates
• Your feedback helps us improve the Service for all families

We appreciate your participation in helping us build a better product. Beta users may receive special benefits when the Service launches publicly.

Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

Acceptable Use

You agree to use the Service only for:

• Managing devices of your own minor children or dependents for whom you are the legal guardian
• Lawful purposes consistent with parental supervision and child safety

You agree NOT to use the Service to:

• Monitor, track, or manage devices belonging to adults without their explicit consent
• Monitor devices of children who are not your legal dependents
• Engage in any stalking, harassment, or surveillance of any person
• Violate any applicable law or regulation
• Infringe upon the privacy rights of any person, including adult children
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to gain unauthorized access to any portion of the Service

Device Supervision

Shelta uses Apple's MDM framework to supervise devices. By enrolling a device, you acknowledge and agree that:

• Device supervision may require a factory reset of the device
• Supervised devices are subject to management controls designed to resist removal; you will be notified if removal is attempted
• On personally-owned devices, Apple requires that management profiles remain removable through device Settings (this is an Apple platform requirement)
• You are responsible for backing up any data before enrolling a device
• MDM profiles installed on devices identify them as managed by Shelta

Payment and Subscription

Certain features of the Service may require payment. If you choose a paid subscription:

• You agree to pay all fees associated with your selected plan
• Subscriptions automatically renew unless cancelled before the renewal date
• You may cancel your subscription at any time through your account settings
• Refunds may be available at our discretion and in accordance with applicable law

Intellectual Property

The Service and its original content, features, and functionality are owned by Defilan Technologies LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE
• THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS

We do not guarantee that our Service will prevent all inappropriate content access or device misuse.

Parental Responsibility

You acknowledge and agree that:

• No technology can replace active parenting, supervision, and communication with your children
• The Service is a tool to assist, not replace, your parental judgment and oversight
• You remain solely responsible for your child's safety, wellbeing, and online activities
• Technical limitations, software bugs, or device issues may occasionally affect the Service's effectiveness
• Regular communication with your children about online safety is essential regardless of any technical controls in place

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEFILAN TECHNOLOGIES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, DATA, OR GOODWILL
• SERVICE INTERRUPTION OR DEVICE MALFUNCTION
• ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Defilan Technologies LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any rights of another person

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. You may remove MDM profiles from your devices, which will release them from Shelta management.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved in the state or federal courts located in Washington State, and you consent to the personal jurisdiction of such courts.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Your continued use of the Service after any changes to the Terms constitutes acceptance of those changes.
